Legal Specialist, Corporate & Operations
About this role:
Groq is seeking a highly organized and proactive Legal Operations & Corporate Specialist to lead legal operations and support critical areas of our corporate legal function. This individual will be responsible for managing legal tools and workflows, overseeing corporate governance processes, and supporting investor and entity-related operations. The ideal candidate is process-driven, detail-oriented, and thrives in a fast-paced, high-growth environment.
Responsibilities & opportunities in this role:
- Draft, manage, and track board and stockholder consents using templates and structured workflows
- Oversee corporate entity formation and maintenance, including document preparation and coordination with external counsel
- Administer and maintain Groq’s cap table in collaboration with Finance
- Draft and coordinate stock transfer agreements and related equity documentation
- Coordinate investor relations operations, including communication logistics and data room administration
- Identify, implement, and manage legal tools (e.g., CLM, Docusign, e-billing, IP docketing) to support legal and cross-functional stakeholders
- Build and continuously improve legal workflows to ensure efficiency, compliance, and scalability across the legal team and with its stakeholders
- Serve as a legal team point of contact for internal stakeholders; help translate legal processes into practical business enablement
Ideal candidates have/are:
- Strong working knowledge of corporate governance, entity management, and equity documentation
- Experience as a legal operations manager or legal program/project manager within an in-house legal team
- Familiarity with legal tech tools, including CLM platforms, Docusign, eBilling, equity tracking software, and workflow automation tools
- Skilled at drafting and managing corporate legal documents based on templates with a high degree of accuracy
- Excellent project management and cross-functional collaboration skills, especially in fast-paced environments
- Exceptional written and verbal communication, including with executives, board members and investors
- Self-starter who’s comfortable wearing multiple hats, shifting priorities, and building from scratch
Qualifications for this role:
At minimum:
- Experience as a corporate paralegal or legal assistant in an in-house environment
- Ability to work with a wide range of corporate documents and contracts
- Experience with cap table tools and management
- Experience with project management, building process design, and analytics and metrics
- Solid Understanding of legal software solutions and the ability to evaluate their usefulness
- Highly tuned research and analytical skills
Highly valued, not required:
- Prior experience in a tech startup, especially in hardware, AI, or high-growth environments
- Investor relations experience
- Comfort with scaling legal infrastructure in ambiguous or early-stage settings
Compensation: At Groq, a competitive base salary is part of our comprehensive compensation package, which includes equity and benefits. For this role, the base salary range is $141,865 to $191,935, determined by your skills, qualifications, experience and internal benchmarks.
