• Structure and stand up fund and related vehicles.
• Lead acquisitions: purchase agreements, diligence, financing, integration.
• Tax-aware structuring across multi-state exposure.
• Draft and negotiate MSAs, licenses, IP protection.
• Governance, compliance, and board materials across entities.

🎯 Requirements

• 4-6+ years corporate and transactional experience.
• Fluency in Delaware law; NY, MA, MO knowledge.
• Structure tax-conscious entities across multiple states.
• Own matters from strategy through drafting and filing.
• Genuine fluency with AI tools in legal practice.
• Experience in fund formation, nonprofit governance, or political/campaign finance law.
